Theresia advises management teams and both private and institutional investors on structuring funds in the venture capital, crypto, and private equity sectors, including the undertaking of registration procedures. Her advisory focus is on corporate law and contractual matters, especially the drafting and negotiation of fund agreements, side letters, and participation agreements. Additionally, she advises on ongoing matters such as carried interest structures, team participations, co-investments, and secondaries.
Education and Career
Theresia studied law at Bucerius Law School and the University of Cape Town. During her studies and clerkship she worked as a research assistant at Freshfields Bruckhaus Deringer in Litigation & Dispute Resolution. She also worked as a freelance mediator.
Her clerkship at the Hanseatic Higher Regional Court included placements in Hong Kong focusing on banking law, and at a notary's office in Hamburg.
Theresia is currently completing an Executive Master of Business Administration with a focus on Venture Capital at the University of Oxford.
Experience
Since joining the firm, Theresia has, among others, worked on the following fund mandates:
- Advising Planet A on the structuring and subsequent consultation of an Impact Venture Capital fund,
- Advising Greenfield One on the structuring and subsequent consultation of several generations of crypto funds,
- Advising Signals on the structuring and subsequent consultation of several Venture Capital funds,
- Advising Oyster Bay on their running Venture Capital fund and the structuring of several SPVs.
