Berlin – Members of the YPOG team advised KKA Management GmbH (KKA) on the structuring of its second fund and at the same time advised this fund on the acquisition of Xantaro Holding GmbH and its subsidiaries, Xantaro Deutschland GmbH and Xantaro UK Ltd. (together Xantaro Group) at SMP.
The previous owners of the Xantaro Group will remain involved via continuing interest and will continue to support the management in an advisory capacity. KKA was advised by a team led by Jörn Wöbke, Stephan Bank and Malte Bergmann. The scope of advice in this transaction included corporate and tax advice on the acquisition as well as on the future group structure, including corporate and tax structuring with regard to the sellers' continuing interest. The parties agreed not to disclose the purchase price and further details of the transaction.
Having already been comprehensively advised by the team in connection with the structuring of its first fund, KKA again relied on their expertise for the structuring of this second fund.
