Berlin, January 2024 – YPOG and Pusch Wahlig Workplace Law (PWWL) advised ZenJob AG on its conversion into a European Company (SE) under corporate and employment law.
ZenJob AG has successfully converted into a European Company (Societas Europaea, SE) with effect from December 21, 2023, and has been operating as ZenJob SE since then. With the SE conversion, ZenJob expresses its international mission as adynamic and fast-growing company. Further information can be found here.
Together with Julian Jantze (Legal Principal at ZenJob), the SE formation of ZenJob was advised on corporate law by YPOG and on employment law by PWWL.
In addition to the change of the legal form into an AG and the formation of the SE, the corporate law advice included in particular the adaptation of the corporate governance structure to the requirements of stock corporation and SE law.
The employment law advice included supporting the management of ZenJob in the preparation, initiation and monitoring of the election process for the special negotiating body (SNB) as well as the negotiation of an involvement agreement with the SNB. Following constructive negotiations between the management and the SNB, the participation procedure was successfully concluded with an involvement agreement.
